Although I don't know why, Photoshop shows .bmp files as 'indexed'. This may happen when you directly drag the image from your browser in to PS, and PS makes a .bmp file out of it (on Windows at least). The easiest thing to do is to first download the file, or just copy the indexed layer and paste it into a new file so that it's editable.

Using other people's designs as a base or inspiration is ok to some extent, a lot of people do this. Copying and altering a few things is not. To put it quite bluntly: if you call yourself a designer, you can't just leech off others' work. But it's hard for us to say because we don't know how much it looks like the original. The permission of the original website's author has nothing to do with ethics, really.

comment Why should lines be avoided in tables?
In my opinion it's not neccesarily bad. You could consider it 'chartjunk' as mentioned in DA01's answer, but in the end you decide what looks better. I myself don't mind using extra elements to make a chart, table or graph look less boring or easier to read.

There is ZERO similarity. The owner of that company is just a greedy selfish a**hole who wants to rip you off. If I were you, I'd tell him that. And IF he would sue you (he won't) there is no way he can win.
